John B. Harwood, Chairman of the Board of Directors

Since 1980, Speaker John B. Harwood has been a member of the Rhode Island House of Representatives. Mr. Harwood was Speaker of the House from 1993 to 2003, when he presided over a $2.8 billion state budget. He is a member of the National Speakers Conference and a co-founder and partner of McKinnon & Harwood, a Pawtucket, Rhode Island-based law firm.

Mr. Harwood has been a political fixture in Rhode Island for many years. He served in the House of Representatives from 1980 to 2004, and he was Speaker from 1993 to 2003. As Speaker of the House, he presided over a state budget of 2.8 billion dollars for Rhode Island. He is currently a member of the National Speakers Conference. Mr. Harwood also served on Big Brother's advisory board, received Big Brother's Robert Cy Killian Humanitarian Award in 2000, and was named March of Dimes Citizen of the Year in 2000.

Mr. Harwood earned a B.A. from the University of Pennsylvania's Wharton School, an MBA from the University of Miami, and a J.D. from Boston College Law School. He belongs to the Rhode Island and Massachusetts Bar Associations, as well as the United States District Courts for the Districts of Rhode Island and Massachusetts and the First Circuit Court of Appeals. Mr. Harwood played both hockey and baseball at the University of Pennsylvania, and he was inducted into the University of Pennsylvania Athletic Hall of Fame in 1999.

David R. Paolo, CEO

David R. Paolo is a Rhode Island-based entrepreneur and business owner. Throughout the 1990s, he was best known for founding and leading Log On America, one of the first Internet companies. Mr. Paolo is credited with completing Log on America's initial public offering and listing on the NASDAQ national market system with the 5th best-performing IPO, raising more than $120 million in capital.

Mr. Paolo is the founder and CEO of Skypath Security Inc., as well as the creator, designer, and architect of the company's patent-pending gun safety technology and ground-breaking Skypath Defender Mobile Defense Platform. He is Skypath's Chief Executive Officer and a member of its Board of Directors. Mr. Paolo earned a Bachelor of Science in Business Administration from Roger Williams University after graduating from LaSalle Academy in 1986. Mr. Paolo was named a finalist for the Ernst and Young Entrepreneur of the Year Award in 2000.

Mr. Paolo later became the Chairman and CEO of GoGo Cast, Inc., one of the country's first digital sign companies, and deployed them in over 2000 locations across the country, reaching over 50 million viewers each week. Paolo became the managing director of Brickhouse Holdings, LLC, a technology fund, in 2011, while continuing to serve as the CEO of GoGo Cast. As of 2017, he is the CEO of Skypath Security, Inc.

Omar D. Shands, CBE, CCA, President and Chief Operating Officer

Omar D. Shands is the current President of Skypath Security and a member of the Board of Directors. Mr. Shands is a key leader at Skypath Security, where he collaborates closely with the Board of Directors, the Chief Executive Officer, and the leadership team to set the strategic direction and implement the vision and corporate goals. Mr. Shands is in charge of developing and executing operational strategies and actions necessary to meet predetermined financial outputs and objectives. Mr. Shands also oversees the compliance program, ensuring that all applicable federal, state, and local business laws and regulations, as well as company policies, are followed.

Mr. Shands attended Virginia Intermont College in Bristol, Virginia, as well as Saint Paul's College, a historically black college or university in Lawrenceville, Virginia. He was also a founding member of the Virginia-based consulting firm Hello Consulting RVA, Inc., where he provided regulatory guidance and risk management protocols. Mr. Shands brings over fifteen years of experience in regulatory compliance and risk management to the financial services, decentralized finance, fintech startup, and security industries. He also has in-depth Web3 experience working with top centralized exchanges such as Coinbase, Uphold, and eToro, and Layer 1 and Layer 2 blockchains and networks.

Mr. Shands has worked for and advised Fortune 200 companies and executives on improving service level agreements, developing dynamic business plans to revitalize operations, evaluating and appraising project design, supervising execution, and submitting reports on inefficiencies and improvement strategies.

Antonio Giordano, Chief Financial Officer

Antonio Giordano is the acting Chief Financial Officer for Skypath Security. Mr. Giordano is a member of Skypath's Security Executive Leadership Team, where he is in charge of ensuring adequate liquidity, a financial reporting process, financial forecasting, and a strong ROI. Mr. Giordano has more than 30 years of experience in real estate development, investment, finance, brokerage, project management, financial modeling, and analytics. He holds an M.S. in Real Estate Development and Investment from the New York University Real Estate Institute, as well as a B.A. in Financial Management from the Catholic University of America.

Furthermore, he has created business operations and financial models for an online 24-hour medical supply and apparel start-up with kiosk locations across the East Coast. In addition, he oversaw the business operations and financial models for a multi-state telemedicine company with the potential to open over 1,000 physical locations across the United States. He created the financial modeling and analytics for the refinancing of senior housing projects, as well as the evaluation ranking model for comparing nursing home projects throughout the state of Rhode Island.

He also designed the business operations and financial models for the first functional footwear company. He also finished the financial packaging for over 1,500 multi-family units in Rhode Island, oversaw the development and management of modular sites, and developed the business operations and financial model for a tri-state ice cream franchise.

Derek Borek, Chief Threat Assessment Officer

Derek Borek serves as Skypath Security's Chief Threat Assessment Officer. He was the Director of Training for the Rhode Island State Police for 27 years before retiring as a captain. Mr. Borek was the Tactical Team Commander and a member of the Tactical Statewide Weapons of Mass Destruction Team for the RISP Tactical

Team for eighteen years. He was the chairman of the Rhode Island School Safety Committee, which was responsible for enacting some of the nation's most progressive school safety legislation. He was the division's armorer and the officer's safety instructor in charge. He was in charge of any critical incidents that occurred in Rhode Island.

Mr. Borek is a nationally recognized expert in the response to active shooters and workplace violence. He wrote an article about "Active Shooter Awareness" that was published in a FEMA publication. Throughout the country, he has given hundreds of presentations on how to prepare for and respond to an active threat situation for major corporations as well as school administrators, teachers, state, and municipal employees.

Mr. Borek's current duties include conducting critical infrastructure threat, risk, and vulnerability assessments on businesses, government facilities, and schools. He also oversees the design and implementation of the Skypath Mobile Defense Platform, a system that enables businesses and organizations to manage and control risks, threats, tasks, and events in routine and emergency situations more efficiently, improve performance, and maximize resources. Furthermore, Mr. Borek was a key pillar in ensuring that the platform provided customized retail solutions for special populations at risk of extinction, such as adults, children, and mentally frail individuals, as well as people with disabilities and special needs such as Alzheimer's, dementia, and autism. The system ensures the personal safety of these populations as well as their daily routines and independence.

Mr. Borek holds a bachelor's degree in industrial and psychological studies from Geneseo State University as well as a master's degree in justice administration from Salve Regina University.

Jason Freitas, Head of Global Sales

Mr. Jason Freitas is a seasoned sales director with more than 23 years of sales and service experience in a variety of industries, including consumer banking, mortgage banking, retail banking, and fintech startups. Mr. Freitas also has experience managing both people and resources. He has led, coached, and supported teams of 25 or more FTEs across the United States in order to increase market share and revenue. Mr. Freitas has devised strategies that have retained and protected existing customer portfolios while increasing revenue by up to 25% year over year.

Mr. Freitas has held a variety of management positions for Fortune 500 corporations. His responsibilities at Skypath Security include developing and implementing critical global growth initiatives such as sales onboarding, budgeting, business plans, solution training, and sales methodologies. His vision and expectations are to find ways to accelerate the growth of Skypath Security's sales organization, shorten sales cycles, and increase win rates by improving the efficiency and effectiveness of his sales, partner, and third-party vendor teams.

Mr. Freitas attended Johnson & Wales University in Providence, Rhode Island.

Pete Gaynor, Emergency Management Advisor

Mr. Pete Gaynor is a certified emergency manager who served briefly as acting Secretary of Homeland Security under President Trump. Gaynor previously served as administrator of the Federal Emergency Management Agency (FEMA). On March 8, 2019, President Donald Trump appointed him as acting administrator, and on January 16, 2020, he became administrator. Mr. Gaynor spent 26 years in the United States Marine Corps, retiring as a lieutenant colonel. He was the executive officer in charge of Camp David's security; he was the head of Plans, Policy, and Operations at the Headquarters, Marine Corps, during the September 11 attacks; and he deployed with the 1st Marine Expeditionary Force, where he coordinated combat operations for multinational and Marine forces in Al Anbar Province, Iraq. Mr. Gaynor was appointed Acting Secretary of Homeland Security on January 12, 2021.

Mr. Gaynor served as the director of the Providence Emergency Management Agency and the Office of Homeland Security from March 2008 to December 2014. Gaynor served as the director of the Rhode Island Emergency Management Agency (RIEMA) from January 2015 to October 2018. On October 11, 2018, the Senate approved Mr. Gaynor to be the deputy administrator of the Federal Emergency Management Agency (FEMA). Mr. Gaynor took over as acting administrator on March 8, 2019, when Administrator Brock Long returned to the private sector. Gaynor oversaw the agency's recovery efforts following numerous disasters, including California wildfires, tornado outbreaks, severe storms, Midwest flooding, and Puerto Rico earthquakes.

Mr. Gaynor graduated from Pilgrim High School in 1977 and then joined the Marine Corps. He later attended the Community College of Rhode Island from 1982 to 1984 and Rhode Island College from 1984 to 1986, graduating with a BA in history. In 2001, he received an MA in National Security and Strategic Studies from the United States Naval War College while serving in the Marine Corps. In 2013, he graduated from the Naval Postgraduate School's Executive Leadership Program.

James Lombardi III, Esq, Head of Government Affairs

James J. Lombardi III is the city treasurer and senior advisor to the Providence City Council. From 1999 to 2011, Mr. Lombardi served as the city's internal auditor before being appointed city treasurer. He also serves the public by chairing the North Smithfield School Committee, the Central Falls Detention Center, and the Rhode Island Board of Accountancy.

Mr. Lombardi is a Certified Public Accountant and a member of the BAR in Massachusetts and Rhode Island. He previously served as North Smithfield's Town Solicitor. He also practices federal taxation and bankruptcy law, and he contributes his financial knowledge to both litigation and municipal affairs. Mr. Lombardi currently serves as the Vice Chairman of the Board of Investment Commissioners as well as the Chairman of the Providence Retirement Board.

Before being elected to the City Council, Mr. Lombardi worked as a field agent for the Internal Revenue Service. James was appointed as the pro bono Executive Director of the Rhode Island Tax Clinic, Inc., a non-profit organization that represented low-income taxpayers before the Internal Revenue Service, in 2003. During this period, Mr. Lombardi attended numerous Tax Cotax Calendars and, free of charge, represented taxpayers. Mr. Lombardi is the founding treasurer and current board member of the Rhode Island Oral Health Foundation, Inc., a non-profit organization that provides dental care to low-income individuals. Mr. Lombardi has also served in the United States Army Reserves.

Jason Rindahl, President of Corporate Strategy and Web3

Jason Rindahl has 22 years of experience in high-growth, technology-focused startups. Mr. Rindahl is an experienced executive who has driven the success of pioneering ventures. As a young executive leader, Jason played a key role in one of Atlanta's fastest-growing and most successful startups. This trailblazing organization created cutting-edge VOIP technology, transforming the underserved SMB market. After experiencing a meteoric rise, the company went public in 2007, quickly becoming a billion-dollar publicly traded behemoth.

He served as Vice President of Sales for a Martech startup in 2012 when the landscape was rapidly changing due to the introduction of new demand generation and modern go-to-market solutions. This company, which was at the forefront of innovation, powered its data-as-a-service software solution with artificial intelligence and machine learning.

Mr. Rindahl has spent the last three years immersed in the Web3 space, demonstrating his dedication to staying at the forefront of technological advancement. His responsibilities extend to the NJSA board, where he not only provides strategic advice but also manages the Tech Education Program. This program educates industry leaders about the transformative power of Web3, AI, and AR.

Mr. Rindahl is a graduate of the University of North Georgia, where he received his degree in engineering.
